A. Introduction and Acceptance

Welcome to Go Smart Kids Education (GSKE)! These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "User," "Parent/Guardian," or "Student") and Go Smart Kids Education ("GSKE," "we," "us," or "our"), an MSME registered and ISO 9001:2015 certified entity, governing your use of our Website (www.gosmartkids.in) and the GSKE E-Smart Portal – www.gske.in ("Portal").

By accessing, registering for, or using any of our Services, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms and the linked Privacy Policy, Refund and Cancellation Policy, and Acceptable Use Policy. If you do not agree to these Terms, you must not use our Services.

B. Definitions

• "Portal": The proprietary GSKE E-Smart Portal, the digital platform where classes, content, tracking, and payments are managed.
• "Service(s)": Our educational programs, including Abacus, Vedic Math, Olympiads, and related live online/offline classes, digital content, and support functions.
• "Minor" / "Student": An individual under the age of eighteen (18) registered to utilize the Services.
• "Parent/Guardian": The individual above 18 who registers the Minor and is legally responsible for the Minor's conduct and adherence to these Terms.
• "Franchisee": An independent third-party operator licensed by GSKE to conduct local classes or services.
• "Teacher": An independent third-party operator licensed by GSKE to conduct local classes or services under GSKE or Franchisee licensed by GSKE to conduct local classes or services.

C. Eligibility, Account Registration, and Parent/Guardian Consent

• Eligibility: The Services are available only to individuals who can form legally binding contracts under the Indian Contract Act, 1872. Accounts for Minors must be registered by their Parent/Guardian.
• Parental Responsibility: The Parent/Guardian confirms they have read the Privacy Policy and grants verifiable consent for the collection and processing of the Minor's data strictly for educational purposes.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You must notify GSKE immediately of any unauthorized use.
• Accuracy of Information: You warrant that all registration and payment information provided is accurate, current, and complete.

D. Description of Services and Service Interruption

• Portal Features: The Portal provides tools including, but not limited to, Student Dashboards, Performance Tracking, Book Work submission/checking, Level Tests, Payment Gateway access, and the integrated "Contact Teacher" feature.
• Service Modification: GSKE reserves the right to modify, suspend, or discontinue any aspect of the Services (including Content, features, and class schedules) at any time without liability.
• Downtime: We do not guarantee uninterrupted, error-free access. We shall not be liable for any downtime caused by technical issues, force majeure events, or scheduled maintenance.

E. Intellectual Property Rights (IPR) and License

• Ownership: All content, course material, videos, software, methodologies (including Abacus and Vedic Math techniques as proprietary instructional material), logos, and the Portal's structural design are the exclusive property of GSKE and are protected under Indian and international copyright and intellectual property laws.
• Limited License: GSKE grants the registered User (Student) a non-exclusive, non-transferable, revocable license to access and use the Content solely for personal, non-commercial, educational use during the period of their active registration.
• Restrictions: You are strictly prohibited from:
  1. Recording, copying, reproducing, distributing, modifying, selling, or creating derivative works from the Content.
  2. Using the Content to establish or operate a competing educational institution or program.
  3. Sharing account credentials or class links with unauthorized third parties.

F. Fees, Payment, and Refunds

• Payment Terms: All applicable course, material, and re-registration fees are mandatory, must be paid in advance, and are subject to taxes as per prevailing Indian law.
• Payment Processing: Payments are facilitated through secure, third-party payment gateways (e.g., Razorpay, PayU). GSKE is not responsible for any transaction failures or disputes arising solely from the payment gateway's service.
• No Refund Policy: All fees are explicitly non-refundable. This is governed by our separate Refund and Cancellation Policy.
• Re-registration: If a student discontinues services for more than four (4) consecutive months, their account will be deactivated. A mandatory re-registration fee must be paid to resume classes.

G. User-Generated Content and Warranties (IT Act Compliance)

• User Content: Content uploaded by Users (including Franchisees, Teachers, and Students, such as homework, notes, or doubt queries) remains the property of the creator.
• License to GSKE: By uploading content, the User grants GSKE a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to host, display, and use the content solely for the purpose of providing, improving, and promoting the Services.
• Warranties: Users warrant that their uploaded content is lawful, does not violate any third-party rights (including IPR), and complies with the Acceptable Use Policy and the rules and regulations under the Information Technology Act, 2000.

H. Limitation of Liability and Indemnification

• Disclaimer: The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. GSKE expressly disclaims all warranties regarding the Merchantability, fitness for a particular purpose, or non-infringement of the Services.
• Liability Limitation: To the maximum extent permitted by Indian law, GSKE, its founder, employees, Franchisees, and Teachers shall not be liable for any direct, indirect, incidental, special, or consequential damages, including loss of profits or data, arising from your use of the Services.
• Indemnity: You agree to indemnify, defend, and hold harmless GSKE from and against all losses, expenses, damages, and costs (including reasonable legal fees) resulting from your violation of these Terms, the Acceptable Use Policy, or any law or regulation in India.

I. Governing Law and Jurisdiction

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of India.
• Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by Arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of the arbitration shall be Mumbai, Maharashtra, India. The language of arbitration shall be English.
• Jurisdiction: Subject to the arbitration clause above, the courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction over any matters arising from these Terms.
